1. Agreement to These Terms

These Terms of Service ("Terms") govern your access to and use of Invoice Manager by Luxully ("App"), provided by Luxully ("Luxully", "we", "us", or "our").

By downloading, installing, accessing, creating an account for, or using the App, you agree to these Terms.

If you do not agree with these Terms, you should not use the App.

2. About the App

Invoice Manager is a business-management application designed to help users create and manage documents and records such as:

• Invoices
• Quotes
• Estimates
• Payments
• Receipts
• Expenses
• Customers
• Products and services
• Business reports
• Business documents and attachments

The App may also provide optional features such as account authentication, Google Drive backup, local notifications, document sharing and other business-management tools.

3. Eligibility

You must be legally capable of entering into an agreement under the laws applicable to you in order to use the App.

The App is intended primarily for businesses, professionals, freelancers, organizations and individuals managing business records.

If you use the App on behalf of a company or organization, you represent that you have authority to accept these Terms on its behalf.

4. Accounts

Certain features may allow you to create or use an account through email authentication or Google sign-in.

Where local use without an account is supported, creating an account may remain optional.

You are responsible for maintaining the security of your account, device and login credentials.

You agree to provide accurate information when creating an account and to keep relevant account information reasonably current.

You are responsible for activity performed through your account unless the activity resulted from circumstances for which you are not legally responsible.

5. License to Use the App

Subject to these Terms, Luxully grants you a limited, personal, revocable, non-exclusive and non-transferable license to install and use the App for lawful personal or business purposes.

You may not:

• Sell, sublicense or redistribute the App without authorization
• Use the App to violate applicable laws or regulations
• Attempt to gain unauthorized access to App systems or services
• Interfere with the security or normal operation of the App
• Use the App to distribute malware or harmful material
• Misrepresent your relationship with Luxully

6. Your Business Information

You are responsible for the business information and records you enter into the App.

This may include:

• Customer information
• Business details
• Prices and quantities
• Tax rates
• Payment instructions
• Invoice and receipt details
• Product information
• Expenses
• Attachments and signatures

You are responsible for ensuring that you have the right to collect, store, process and use information belonging to your customers, employees or other third parties.

7. Accuracy of Invoices and Business Documents

The App provides tools for generating invoices, quotes, estimates, receipts and related business documents.

You are responsible for reviewing documents before issuing or sharing them.

Luxully does not guarantee that information entered by a user is accurate, complete or suitable for a particular legal, accounting, tax or regulatory purpose.

You are responsible for complying with invoice, tax, business-record, consumer-protection and other requirements applicable in your country or jurisdiction.

8. No Accounting, Tax or Legal Advice

Invoice Manager is a software tool and does not provide legal, accounting, tax, investment or other professional advice.

Reports, totals, reminders, calculations and other information generated by the App are intended to assist with business record management.

You should consult an appropriately qualified professional where necessary.

9. Local Data and Backups

Much of the business information created in the App may be stored locally on your device.

You are responsible for maintaining appropriate backups of information that is important to your business.

The App may provide manual backup and optional Google Drive backup functionality.

You should verify that important backups have completed successfully and are available before relying on them.

10. Google Drive Backup

If you choose to use Google Drive backup, you authorize the App to use the Google permissions necessary to create and access supported App backup information in your Google account.

Google Drive is operated by Google and is subject to Google's own terms, privacy policies, availability and technical requirements.

Luxully does not control the availability of Google Drive or other third-party services.

11. Notifications and Reminders

The App may provide optional reminders concerning invoices, overdue balances, quotes, estimates, backups or other business events.

Notifications are provided for convenience only.

You should not rely solely on an App notification for a payment, deadline, legal obligation or other important business matter.

Delivery may be affected by Android settings, battery optimization, permissions, device configuration or other technical factors.

12. Paid Features and Subscriptions

The App may offer optional paid features, premium plans or subscriptions.

Where purchases are offered through Google Play, payments, renewals, cancellations and applicable refunds may also be subject to Google Play's terms and policies.

Prices and available plans may vary by country, currency, platform, promotional offer or applicable taxes.

Before purchasing a paid feature or subscription, the applicable price and billing period will be shown through the purchase interface.

Additional subscription-specific terms may be displayed where required.

13. Acceptable Use

You agree not to use the App to:

• Commit fraud or facilitate unlawful activity
• Create intentionally deceptive or fraudulent business documents
• Infringe intellectual-property or privacy rights
• Store or distribute unlawful material
• Harass, threaten or harm another person
• Attempt to compromise the App or related services
• Bypass security, entitlement or access-control mechanisms
• Use automated means to abuse or overload our services

We may restrict or terminate account-based services where reasonably necessary to address abuse, security threats or violations of these Terms.

14. Your Content

You retain ownership of business data, logos, signatures, attachments and other content that you lawfully provide to the App.

You grant us only the permissions reasonably necessary to process such information to provide features you choose to use.

For example, if you choose Google Drive backup, the App must process the applicable backup information in order to create and restore that backup.

15. Luxully Intellectual Property

The App, excluding content supplied by users, including its software, branding, interface design, original graphics, code and related intellectual property, belongs to Luxully or its licensors and is protected by applicable intellectual-property laws.

Nothing in these Terms transfers ownership of Luxully intellectual property to you.

16. Third-Party Services

Certain App features may depend on third-party services including Google, Firebase, Google Drive, Google Play and other providers used by the App from time to time.

Third-party services operate under their own terms, policies, availability and technical requirements.

We are not responsible for interruptions or changes caused solely by a third-party platform that is outside our reasonable control.

17. Privacy

Our handling of personal information is described in the Invoice Manager Privacy Policy.

The Privacy Policy forms an important part of your use of the App and should be read together with these Terms.

18. Account Deletion

If you create an account, you may request deletion of your account using the account-deletion options made available through the App or Luxully's website.

Deleting an account may affect your ability to access account-based features.

Locally stored business information and files stored independently by you may require separate deletion.

19. App Updates

We may update the App periodically to:

• Add or improve features
• Improve security
• Correct defects
• Maintain compatibility with Android or third-party services
• Meet legal or platform requirements

Some features may require a reasonably current version of the App.

20. Changes to Features

We may modify, add or discontinue App features from time to time.

Where a material change affects a paid service or a legal right, we will provide notice where required by applicable law or platform rules.

21. Availability

We aim to provide a reliable App, but we do not guarantee that every feature will be available without interruption at all times.

Availability may be affected by:

• Device problems
• Internet connectivity
• Android operating-system behavior
• Google or Firebase services
• Maintenance
• Security incidents
• Events outside our reasonable control

22. Disclaimer of Warranties

To the extent permitted by applicable law, the App is provided on an "as is" and "as available" basis.

We do not warrant that the App will be uninterrupted, error-free, or suitable for every business, legal, accounting or regulatory requirement.

Nothing in these Terms excludes warranties or consumer protections that cannot lawfully be excluded.

23. Limitation of Liability

To the maximum extent permitted by applicable law, Luxully will not be liable for indirect, incidental, special or consequential losses resulting solely from your use of or inability to use the App.

This may include loss arising from failure to maintain adequate backups, incorrect information entered by a user, or reliance on a reminder or report without independent verification.

Nothing in these Terms limits liability where doing so would be prohibited by applicable law.

24. Termination

You may stop using the App at any time.

If you have created an account, you may use the available account-deletion process.

We may suspend or terminate access to account-based services where reasonably necessary because of fraud, security risk, unlawful use, material violation of these Terms or legal requirements.

25. Governing Law

These Terms are governed by the laws of Kenya, subject to any mandatory consumer or other rights that may apply in your country of residence.

Nothing in these Terms prevents you from exercising rights available to you under applicable mandatory law.

26. Changes to These Terms

We may update these Terms to reflect changes to the App, applicable laws, third-party services or our business practices.

When the Terms are materially updated, we will revise the effective date shown at the top of this page and provide additional notice where required.

Continued use of the App after an updated version becomes effective constitutes acceptance where permitted by applicable law.
